Terms and Conditions of Use

These Terms and Conditions (“Terms”) govern your access to and use of the PropManager AI platform, including related websites, tenant and landlord portals, owner tools, messaging features, AI assistant services (“Stacy”), and any associated software, content, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1) Eligibility and Account Responsibility
- You must be legally capable of entering into a binding agreement and comply with all applicable laws.
- You are responsible for all activity under your account credentials and for maintaining account security.
- You must provide accurate information and promptly update account, contact, billing, and property data.
2) Platform Scope and No Legal Advice
- PropManager AI provides workflow and communication tools to assist property operations.
- The Services (including AI-generated content) are for operational assistance and informational purposes only and do not constitute legal, tax, accounting, insurance, or regulatory advice.
- You are solely responsible for reviewing and approving all notices, enforcement communications, and legal-facing content before sending or taking action.
3) Communications, Notices, and User Content
- You are responsible for content you upload, send, or generate through the Services (“User Content”), including compliance with privacy, fair-housing, consumer, landlord-tenant, and anti-discrimination laws.
- You represent that you have all rights and permissions required for your User Content and recipient contact data.
- You must not use the Services to harass, discriminate, defame, threaten, violate confidentiality, or otherwise engage in unlawful conduct.
3A) SMS and Messaging Consent
- By agreeing to these Terms, you expressly consent to receive SMS/text and related messaging communications from PropManager AI where applicable to your account and services.
- These communications may include service alerts, reminders, notifications, account/security messages, property-related updates, and other operational platform communications.
- You are responsible for ensuring your contact information is current and accurate.
- You may opt in or opt out of non-essential SMS alerts at any time in your account settings or by using supported opt-out keywords (such as STOP), subject to legally required and account-critical messaging exceptions where applicable law permits.
- Message and data rates may apply based on your mobile carrier plan.
4) Payments, Billing, and Processing
- Paid subscriptions, setup fees, add-ons, and usage-based charges are billed per your selected plan and checkout terms.
- By purchasing, you authorize recurring charges until cancellation, including prorations, taxes, and approved overages where applicable.
- Payments are processed through third-party processors. We do not guarantee processor availability and are not responsible for processor outages, chargeback decisions, bank holds, or card-network actions.
- All fees are non-refundable except where required by law or explicitly stated in writing by PropManager AI.
- If payment fails or is disputed, we may suspend or limit access until all outstanding amounts are resolved.
5) At-Will Hosting, Suspension, and Termination
- PropManager AI hosts and provides the Services on an at-will basis.
- We may suspend, restrict, decline service, or terminate any account, subscription, workspace, or integration at any time, with or without notice, for any lawful reason, including risk, abuse, fraud, non-payment, security concerns, policy violations, or platform changes.
- You may cancel according to your account settings, but cancellation does not retroactively void accrued charges.
6) Data, Privacy, and Security
- You remain responsible for the personal data you process via the Services and for obtaining legally required notices and consents.
- We use commercially reasonable measures to protect platform integrity, but no system is guaranteed to be uninterrupted or perfectly secure.
- You should maintain independent backups of critical records and communications.
7) AI Features and Automation Disclaimers
- AI outputs may be incomplete, inaccurate, or unsuitable for your specific legal/regulatory context.
- You are solely responsible for validating AI-generated recommendations, tenant communications, and enforcement language before use.
- We disclaim liability for losses arising from reliance on automated outputs, classifications, or inferred recommendations.
8) Third-Party Services and Integrations
- The Services may link to or depend on third-party systems (email providers, payment processors, SMS providers, hosting, analytics, integrations).
- We are not responsible for third-party terms, outages, privacy practices, security incidents, or service changes.
9) Intellectual Property
- PropManager AI and related software, branding, interface design, and platform content are protected by intellectual property laws.
- Subject to these Terms and payment of applicable fees, you receive a limited, revocable, non-exclusive, non-transferable right to use the Services.
- You may not reverse engineer, scrape at scale, rehost, resell, sublicense, or create derivative competing services without written permission.
10) Disclaimers and Limitation of Liability
- THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
- To the maximum extent permitted by law, PropManager AI disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
- To the maximum extent permitted by law, PropManager AI and its affiliates, officers, employees, and contractors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of data, business interruption, or procurement of substitute services.
- To the maximum extent permitted by law, total aggregate liability for any claim related to the Services will not exceed the greater of: (a) amounts paid by you to PropManager AI for the Services in the 3 months preceding the event giving rise to the claim, or (b) USD $100.
11) Indemnification
You agree to defend, indemnify, and hold harmless PropManager AI and its affiliates, officers, employees, and contractors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services, User Content, legal/compliance violations, or breach of these Terms.
12) Governing Law and Dispute Resolution
These Terms are governed by applicable law in the jurisdiction designated by PropManager AI in your master service order or account agreement. You agree that disputes may be resolved through binding arbitration or courts of competent jurisdiction, as permitted by applicable law and any controlling written agreement between you and PropManager AI.
13) Changes to Terms
We may update these Terms at any time. Updated Terms are effective when posted. Continued use of the Services after updates constitutes acceptance of the revised Terms.
